Hidden Risks In Deal Making: What You're Missing? | 202X Vision

About the Session

Every significant commercial deal carries hidden risks beneath the headline numbers—from deceptive commercial assumptions and cash flow delays to counterparty instability. In this edition of the 202X Vision series, leaders explore how to spot red flags before saying "yes," how to balance aggressive sales pressure with cash-flow reality, and why knowing when to walk away is a hallmark of mature leadership.

Host: Vishwendra Verma — Founder & CEO, GrowthSutra

Q. When evaluating a significant business opportunity, what are the primary dimensions of risk leaders should consider?

Evaluating risk requires a three-dimensional framework rather than a narrow look at immediate upside:

  • The Commercials & Economics: Assessing the true risk-adjusted margins, cash conversion timelines, and what the business is genuinely committing over the deal’s life cycle.

  • The Individual & Attitude: Evaluating the credibility, sincerity, and intent of the counterparty or team championing the transaction.

  • The Macroeconomic Context: Accounting for shifting geopolitical variables, supply chain dependencies, and regulatory movements that can flip an attractive opportunity into an operational liability.

Q. How do leaders avoid the trap of prioritizing short-term revenue over long-term enterprise health?

A mature leader must evaluate opportunities on a risk-adjusted revenue and risk-adjusted bottom-line basis rather than chasing headline top-line numbers.

  • High-yield or high-volume deals (such as unsecured subprime lending or unvetted high-margin supply contracts) often look stellar for the first few quarters.

  • Eventually, hidden credit or execution costs emerge. Leaders focused solely on quarterly targets risk compromising organizational culture and balance-sheet longevity.

Q. How can leadership spot dangerous traps when an opportunity is strongly advocated internally?

Large deals often generate internal momentum where teams move from "Should we do this?" to "How do we close this?", ignoring warning signs.

  • Ground-Level Intelligence: Leaders must stay connected to front-line teams, junior staff, and market realities rather than relying exclusively on filtered executive presentations or internal consensus.

  • Basic Business Sanity Checks: If a business claims to have a unique, highly profitable product yet demonstrates weak margins or stunted growth relative to the market, underlying structural issues exist that must be questioned before committing capital.

Q. Why must working capital and cash collection be integrated into deal economics up front?

Cash flow, not revenue booking, determines business survival—particularly in B2B and MSME ecosystems where liquidity shortages are the primary driver of business failure.

  • Cash is King: A large contract with delayed realization (such as multi-year deferred receivables) strains liquidity and distorts commercial viability.

  • Sales Alignment: Organizations must align commercial incentives with cash collected rather than receivables booked, ensuring deal economics reflect working capital realities at the negotiation table rather than treating it as an afterthought for finance.

Q. How should organizations establish boundaries and know when to walk away from a deal?

Walking away from a high-visibility deal is difficult once management has invested time and ego, making structured governance essential:

  • Enterprise Risk Frameworks (ERM): Set hard thresholds on concentration risk, deal sizes, margin floors, and payment terms to trigger automatic escalation when breached.

  • Cross-Functional Decision Teams: Avoid isolated departmental calls by convening cross-functional committees to evaluate exceptions objectively and eliminate individual bias.

  • Decisive Alignment with Counterparties: When cost structures or macro conditions shift unexpectedly, biting the bullet with transparent, decisive terms upfront preserves credibility and long-term commercial trust.
